What You’ll Do:
Securities Law & Disclosure Compliance

Draft, review, and manage public company filings including 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings

Advise on Regulation FD and public disclosure issues

Partner with the Communications and Investor Relations teams on earnings releases, press statements, and investor presentations

Coordinate with outside counsel as needed on specialized disclosure matters
Corporate Governance

Partner with executive leadership and board members to prepare materials for board and committee meetings
-
Oversee legal aspects of annual shareholder meetings
-
Help evolve internal governance practices and ensure alignment with emerging regulations
-
Advise on executive compensation and equity plans in partnership with HR and Compensation Committees
Strategic Legal Advising

Serve as a trusted legal advisor across the business on key initiatives

Provide legal support for M&A and corporate transactions alongside business development teams

Collaborate closely with multiple departments to ensure legal risk mitigation and effective business execution
