Securities Counsel Assistant Vice President

Our client is seeking a Securities Counsel Assistant Vice President to lead key initiatives in securities law compliance and corporate governance. This is a high-visibility role where your legal expertise and strategic mindset will help drive compliance and support cross-functional business objectives.


Your Impact

As AVP, Securities Counsel, you’ll be instrumental in ensuring public company compliance, supporting corporate governance functions, and acting as a key legal advisor across the organization. You'll work cross-functionally with teams in Finance, HR, Compliance, Investor Relations, and more—building strong relationships and fostering a culture of transparency and alignment.


Your Day-to-Day

Securities Law Compliance

  • Prepare and review SEC filings, including Forms 10-K, 10-Q, and 8-K

  • Collaborate with the communications team on earnings releases and investor materials

  • Provide legal counsel on public disclosure and Regulation FD compliance

  • Coordinate with outside counsel on specialized legal matters

Corporate Governance

  • Work with executive leadership and board members on meeting preparation and governance initiatives

  • Lead the legal aspects of stockholder meetings in collaboration with key departments

  • Support the evolution of governance policies and best practices

Strategic Legal Partnership

  • Advise internal teams on executive compensation and equity plan matters

  • Support M&A and other corporate transactions with business development teams

  • Act as a trusted legal resource across business functions


What You'll Bring

  • Juris Doctor (JD) from an accredited law school and active bar membership

  • Minimum 6 years of legal experience with emphasis in securities law and corporate governance

  • Ability to clearly communicate legal concepts to both legal and non-legal audiences

  • Team-first attitude and strong collaboration skills


Preferred Qualifications

  • Experience using disclosure and board management tools such as Diligent or Workiva

  • Strong relationship-building and stakeholder management abilities

  • Proven mentorship and leadership experience
