We are partnering with a prestigious AmLaw 200 law firm in search of an exceptional Business Transactions Associate Attorney to join their thriving practice. This is an exciting opportunity for a highly skilled corporate lawyer to work on complex transactions within a variety of industries, collaborating with a team of seasoned professionals in a fast-paced and fulfilling environment. The role is available in multiple office locations, including Atlanta, Hartford, Los Angeles, Miami, Orlando, Tallahassee, Tampa, West Palm Beach, New Jersey, New York, and Washington, D.C.

Candidate Profile:

  • Holder of a Juris Doctor (JD) degree from a top-tier law school with a proven track record of academic excellence.
  • Admitted to the Bar in the applicable jurisdiction.
  • 3–6 years of substantial experience in handling sophisticated business transactions, including mergers and acquisitions.
  • Exposure to securities offerings, corporate finance transactions, and joint ventures would be highly advantageous.
  • Strong preference for candidates with accounting or tax experience, or those holding a Master of Laws (LL.M.) degree in Taxation.
  • Exceptional skills in legal writing, analysis, and communication.
  • Ability to work independently and collaboratively within a team-oriented environment.

Key Responsibilities:

  • Lead and support intricate mergers and acquisitions, corporate finance transactions, and securities offerings.
  • Create and negotiate transactional agreements, such as purchase agreements, shareholder agreements, and joint venture documents.
  • Provide strategic guidance to clients regarding business structuring, compliance, and risk management.
  • Collaborate with cross-functional teams, including tax and regulatory attorneys, to execute high-value transactions.
  • Cultivate strong client relationships and deliver proactive legal solutions tailored to meet business objectives.
