Commercial Mortgage-Backed Securities Associate Attorney

Location: Charlotte, NC

We are working with a highly regarded global law firm, ranked within the top 50 of the prestigious AmLaw list, that is currently seeking an experienced legal professional to join their esteemed team as a Commercial Mortgage-Backed Securities (CMBS) Associate Attorney. This position will be based in Charlotte, NC, and will be part of the firm's esteemed Global Finance group. Renowned for their expertise in the CMBS marketplace, this team has been at the forefront of the industry for many years, advising issuers, underwriters, servicers, and investors on a substantial portion of CMBS issuances and providing counsel on numerous CRE CLOs. The firm consistently receives top accolades from reputable publications such as Chambers and Partners and The Legal 500 US.

Candidate Profile:

  • The ideal candidate should possess a Juris Doctor (JD) degree from a top-tier law school, with a proven track record of academic excellence.
  • Active Bar Admission in the state of North Carolina is required.
  • They should have 3-6 years of substantial experience in securitization and structured finance, with a focus specifically on CMBS.
  • Proven ability in drafting and negotiating intricate securitization documents is a must, including pooling and servicing agreements, mortgage loan purchase agreements, bid letters, and investor certifications.
  • Experience with commercial real estate repurchase facilities and warehouse lending is highly desired.
  • The candidate must have the skills to be an integral part of the team, managing due diligence and leading deals from initiation to completion.
  • Prior experience with a large law firm is strongly preferred.

Key Responsibilities:

  • Provide guidance and legal advice on a range of CMBS transactions, including CRE CLOs, for a diverse client base consisting of issuers, underwriters, and investors.
  • Lead the preparation and negotiation of various transaction documents, including bid letters, confidentiality agreements, securitization disclosures, and operative agreements.
  • Play an active role in deal structuring, assisting with due diligence, transaction execution, and post-closing matters.
  • Ensure that all activities are carried out in compliance with relevant regulatory and industry standards.
  • Collaborate closely with colleagues in the Global Finance group, leveraging the firm's extensive resources and industry knowledge to deliver exceptional service to clients.
