Seeking a CMBS Junior Lawyer in New York, NY

We are currently representing a distinguished global law firm that requires the expertise of a highly skilled Junior Lawyer specializing in Commercial Mortgage-Backed Securities (CMBS). This opportunity is part of their vibrant Global Finance team. Renowned for their extensive experience and leadership in the CMBS market, this group has been providing exceptional counsel to issuers, underwriters, servicers, and investors for a considerable number of years, overseeing a significant portion of all CMBS issuances and advising on numerous CRE CLOs. Regularly acknowledged by Chambers and Partners and The Legal 500 US, this firm is recognized as a leader in their field.

What We Are Looking For:

  • An individual with a JD from a prestigious law school and an impressive academic background.
  • A valid New York Bar Admission is required.
  • 3–6 years of substantial experience in securitization and structured finance, specifically within the CMBS arena.
  • Proven capability in drafting and negotiating intricate securitization documents, which include pooling and servicing agreements, mortgage loan purchase agreements, bid letters, and investor certifications.
  • Familiarity with commercial real estate repurchase facilities and warehouse lending.
  • A demonstrated ability to function as a key team player during transactions, handling due diligence and overseeing deals until completion.
  • Experience in a large law firm is highly preferred.

Primary Responsibilities:

  • Offering professional guidance on a range of CMBS transactions involving CRE CLOs for diverse clients, including issuers, underwriters, and investors.
  • Leading the preparation and negotiation of transaction documents, such as bid letters, confidentiality agreements, securitization disclosures, and operative agreements.
  • Active involvement in deal structuring, providing assistance in due diligence, transaction execution, and post-closing matters.
  • Ensuring adherence to relevant regulatory and industry standards.
  • Collaborating with team members across the Global Finance group, utilizing the resources and industry expertise of the firm to deliver exceptional client service.
