We are representing a globally recognized AmLaw 50 law firm in their search for a talented Associate Lawyer specializing in Commercial Mortgage-Backed Securities (CMBS) to join their thriving Global Finance team. This team has a notable presence in the CMBS market, partnering with issuers, underwriters, servicers, and investors, and playing a significant role in CMBS issuance and offering advisory services for a broad range of CRE CLOs. About You:

  • You hold a Juris Doctorate (JD) from a highly esteemed law school, accompanied by an impressive academic record.
  • You are an active member of the Pennsylvania Bar Association.
  • Your professional experience spans from 2017 to 2021, exhibiting your expertise in securitization and structured finance, particularly within the realm of CMBS.
  • You have a proven track record in composing and negotiating intricate securitization documents, such as pooling and servicing agreements, mortgage loan purchase agreements, bid letters, and investor certifications.
  • Your familiarity extends to commercial real estate repurchase facilities and warehouse lending.
  • You have demonstrated your ability to work effectively as part of a team, skillfully managing due diligence and successfully closing deals.
  • Experience at a large law firm is highly desirable.

Your Responsibilities:

  • Provide expert guidance on various CMBS transactions, including CRE CLOs, to a diverse client base spanning issuers, underwriters, and investors.
  • Lead the preparation and negotiation of key transaction documents, such as bid letters, confidentiality agreements, securitization disclosures, and operative agreements.
  • Proactively contribute to deal structuring, assisting in due diligence, transaction execution, and post-closing processes.
  • Maintain compliance with industry regulations and standards.
  • Collaborate effectively with team members across the Global Finance group, utilizing the firm's extensive resources and industry knowledge to deliver exceptional client service.
