Complex Credit and Insurance Solutions Associate Attorney

We are seeking a highly qualified and experienced attorney to join our globally recognized law firm as a Complex Credit and Insurance Solutions Associate Attorney. This role presents an exciting opportunity to be part of a leading team that provides top-notch support to global asset managers and private fund sponsors in the areas of fund formation, complex credit structures, and compliance. As an associate attorney, you will play a valuable role in helping our clients navigate the ever-changing landscape of complex credit and insurance solutions.

Candidate Qualifications:

• Graduated with a Juris Doctor (JD) degree from a prestigious law school, demonstrating a strong academic record.
• Active admission to the Bar in Pennsylvania.
• 4–6 years of substantial experience in dealing with complex credit fund formation and offering insurance solutions for private fund sponsors.
• Proven track record in private fund formation, including drafting and negotiating important fund documentation (e.g., private placement memoranda, fund agreements, subscription agreements, advisory and placement agreements, regulatory filings).
• Familiarity with various structured credit funds such as rated note funds and captive CLO equity manager originator structures.
• Capable of overseeing the entire fund raising process from inception to completion, including client interaction, negotiations with investors (side letters, subscription documentation), and closing logistics.
• Knowledge of the Investment Advisers Act, Regulation D requirements, and relevant exemptions to the Investment Company Act would be beneficial.
• Previous experience in a large law firm setting is essential.

Main Responsibilities:

• Provide legal guidance on the structuring and establishment of complex credit private funds and structured credit funds, advising on compliance and distribution for various global asset managers and sponsors.
• Take charge of preparing, drafting, and negotiating essential fund documents and regulatory filings, ensuring adherence to federal securities laws and industry standards.
• Collaborate with specialists in private funds and structured products to stay abreast of regulatory changes, attend important industry meetings, and contribute to client advisories.
• Assist clients in meeting post-establishment compliance requirements and identify strategic opportunities for growth in structured credit and insurance solutions.
• Act as a vital team member in the due diligence, documentation, and execution of complex fund transactions, managing investor negotiations and project timelines until completion.
