Our client, a well-established and highly regarded global law firm, is seeking an experienced Complex Credit and Insurance Solutions Associate Attorney to join their team. This role presents a unique opportunity to work with a leading group of professionals, providing support to global asset managers and private fund sponsors in the areas of innovative fund formation, complex credit structures, and compliance. As an Associate Counsel, you will play a crucial role in helping clients navigate the ever-evolving landscape of complex credit and insurance solutions.

Candidate Profile:

  • Completion of a Juris Doctor (JD) degree from a prestigious law school, with a proven academic record.
  • Active membership in the North Carolina Bar Association.
  • A minimum of 4-6 years of relevant experience in complex credit fund formation and insurance solutions for private fund sponsors.
  • Demonstrated expertise in private fund formation, including the drafting and negotiation of essential fund documentation (e.g., private placement memoranda, fund agreements, subscription agreements, advisory and placement agreements, regulatory filings).
  • Familiarity with structured credit funds, such as rated note funds and captive CLO equity manager originator structures.
  • The ability to effectively manage fund raises from inception to completion, including client engagement, investor negotiation (side letters, subscription documentation), and finalizing all required procedures.
  • Knowledge of the Investment Advisers Act, Regulation D requirements, and exemptions to the Investment Company Act would be beneficial.
  • Prior experience in a large law firm environment is mandatory.

Key Responsibilities:

  • Provide sound legal advice on structuring and establishing complex credit private funds and structured credit funds, ensuring compliance and distribution for a diverse range of global asset managers and sponsors.
  • Lead the preparation, drafting, and negotiation of crucial fund documents and regulatory filings, maintaining alignment with federal securities laws and industry standards.
  • Work closely with private funds and structured products specialists to stay updated on regulatory developments, attend industry events, and contribute to client advisories.
  • Assist clients in navigating post-establishment compliance obligations and identifying strategic growth opportunities in structured credit and insurance solutions.
  • Play an integral role in conducting due diligence, preparing documentation, and executing complex fund transactions, managing investor negotiations and project timelines until completion.
