Complex Credit and Insurance Solutions Associate Attorney

Our client, a prestigious AmLaw 50 global law firm, is currently seeking a highly skilled Complex Credit and Insurance Solutions Associate Attorney. This exciting opportunity allows you to join a leading team that provides support to global asset managers and private fund sponsors in areas such as innovative fund formation, intricate credit structures, and compliance matters. As an associate legal counsel, you will assist clients in navigating the ever-changing landscape of complex credit and insurance solutions.

Candidate Overview:

• Hold a JD from a top-tier law school with an excellent academic record.
• Active admission to the Bar in New York.
• Have 4–6 years of substantial experience in complex credit fund formation and insurance solutions for private fund sponsors.
• Demonstrate expertise in private fund formation, including drafting and negotiating critical fund documentation (e.g., private placement memoranda, fund agreements, subscription agreements, advisory and placement agreements, regulatory filings).
• Familiarity with structured credit funds, such as rated note funds and captive CLO equity manager originator structures.
• Be capable of managing fund raises from launch through close, which includes client interaction, investor negotiation (side letters, subscription documentation), and closing logistics.
• Understanding of the Investment Advisers Act, Regulation D requirements, and relevant exemptions to the Investment Company Act is advantageous.
• Previous experience in a large law firm environment is necessary.

Primary Responsibilities:

• Provide legal advice on structuring and establishing complex credit private funds and structured credit funds, offering compliance and distribution guidance to a diverse clientele of global asset managers and sponsors.
• Lead the preparation, drafting, and negotiation of crucial fund documents and regulatory filings, ensuring compliance with federal securities laws and industry standards.
• Collaborate with specialists in private funds and structured products to remain informed about regulatory changes, attend key industry gatherings, and contribute to client advisories.
• Assist clients in navigating post-establishment compliance requirements and identifying strategic growth opportunities in structured credit and insurance solutions.
• Play a crucial role in the due diligence, documentation, and execution of complex fund transactions, managing investor negotiations and project timelines until completion.
