Our client, a prestigious AmLaw 100 law firm, is in search of a mid-level Associate Attorney specializing in corporate law to join their esteemed Capital Markets & Public Companies Practice Group based in Silicon Valley, San Francisco, Santa Monica, Seattle, New York, or Washington, D.C. This is an exceptional chance to be part of complex transactions and provide legal counsel to innovative companies in the technology and life sciences sectors.

Candidate Profile:

• Possess a JD degree from a top-tier law school and demonstrate an exceptional academic track record.

• Hold bar admission in the relevant jurisdiction or meet the requirements to sit for or waive into the upcoming bar exam.

• Have at least 3 years of substantive experience advising public companies and investment banks in matters related to capital markets transactions and SEC compliance.

• Possess prior involvement in representing issuers or underwriters in various transactions such as IPOs, SPACs, direct listings, and follow-on offerings.

• Demonstrate extensive knowledge of SEC regulations, corporate governance, public company disclosure obligations, and stock exchange compliance.

• Exhibit a strong interest in or previous experience working with technology and life sciences companies.

• Possess excellent oral, written, and interpersonal communication skills.

Key Responsibilities:

• Provide legal guidance to public companies concerning SEC compliance, disclosure requirements, best practices in governance, and matters related to stock exchanges.

• Represent issuers and investment banks in various capital markets transactions, including IPOs, SPACs, direct listings, and follow-on offerings.

• Advise boards of directors and executive teams on matters of corporate governance, shareholder activism, and strategic transactions.

• Draft and negotiate registration statements, offering memoranda, underwriting agreements, and related securities law filings.

• Collaborate with cross-functional teams, including tax, litigation, and executive compensation attorneys, to provide strategic legal advice.
