Our client, a prestigious top-tier law firm ranked in the AmLaw 100, is in search of a skilled Associate Attorney to join their Corporate Practice Group based in New York. This presents an exciting opportunity to work on prominent transactions while collaborating with esteemed attorneys experienced in corporate finance, mergers and acquisitions, and securities law.
Candidate Profile:
- Graduate of a top-tier law school with a distinguished academic background.
- New York Bar Admission is required.
- Substantial experience of 3–6 years in corporate transactions within a law firm environment.
- Strong expertise in corporate finance, M&A, securities, and general corporate matters.
- Previous exposure to emerging companies and venture capital is highly desired.
- Excellent skills in drafting, negotiation, and analysis.
- Attentive to detail with the capability to handle multiple transactions concurrently.
- Outstanding communication skills and a collaborative mindset.
Key Responsibilities:
- Represent clients in corporate finance, M&A, venture capital, and private equity transactions.
- Create and negotiate transaction documents, including stock purchase agreements, asset purchase agreements, and financing agreements.
- Provide guidance to clients regarding securities law compliance, corporate governance, and regulatory matters.
- Perform due diligence and oversee transaction structuring from initiation to completion.
- Work closely with senior attorneys and clients to formulate and implement business strategies.
