ATTORNEY - STARTUP AND VENTURE CAPITAL CORPORATE LAWYER

Our client, a prestigious AmLaw 100 law firm, is seeking a Mid-Senior Level Corporate Associate Attorney to join their highly regarded Start-up and Venture Capital Practice Group in Mountain View, San Francisco, Santa Monica, New York, Seattle, or Washington, DC. This is an exceptional opportunity to provide legal counsel to some of the most innovative companies in the world, ranging from early-stage startups to publicly traded corporations.

Qualifications:

• Graduate of a top-tier law school with a demonstrated record of academic excellence.

• Admission to the relevant jurisdiction's bar, or eligibility to sit for/waive into the next bar exam.

• Minimum of 3 years of substantial experience in a sophisticated corporate law practice, with focus on startup formation, venture capital financing, and representation of emerging companies.

• Proven expertise in advising technology and/or life sciences clients on matters including corporate governance, fundraising, and commercial transactions.

• Extensive experience in transactional work, including drafting and negotiating financing agreements, shareholder agreements, and governance documents.

• Excellent analytical, communication, and client management skills.

• Previous law firm experience is preferred, but in-house counsel candidates are encouraged to apply.

Responsibilities:

• Represent startup founders, venture-backed companies, and investors in a wide range of corporate transactions, such as venture capital financings, equity investments, and convertible securities.

• Draft and negotiate various investment-related documents, including term sheets, shareholder agreements, and SAFE agreements.

• Provide legal guidance to clients on corporate governance, regulatory compliance, and strategic transactions.

• Collaborate with multidisciplinary teams, including tax, employment, and intellectual property attorneys, to deliver comprehensive legal advice.

• Support clients in M&A transactions, IPOs, and other liquidity events.

The firm offers highly competitive compensation, with salaries ranging from $260,000 to $390,000, depending on experience, and opportunities to earn performance-based bonuses.
