ENTRY-LEVEL CORPORATE ATTORNEY
Location: Charlotte, NC
Our esteemed law firm in the Southeast is in search of a highly motivated Junior Corporate Associate Attorney to join our expanding Corporate Practice Group in either Charlotte or Raleigh. This presents a fantastic opportunity for an ambitious attorney to work on complex business transactions, such as mergers and acquisitions (M&A), and corporate governance matters for an array of clients.
Profile of Ideal Candidate:
- Hold a Juris Doctor (JD) from a top-tier law school with a strong academic performance.
- Must be a licensed attorney in good standing with the North Carolina State Bar.
- Have 4-7 years of substantive experience in handling corporate transactions, including M&A, corporate governance, and general commercial transactions.
- Demonstrate proficient skills in drafting and negotiating transaction documents, conducting due diligence, and providing advice on deal structures, particularly in the manufacturing, renewable energy, automotive, and healthcare sectors.
- Possess exceptional research, written, and oral communication abilities.
- Show strong analytical skills with great attention to detail.
- Ability to handle multiple tasks in a fast-paced environment, either independently or as part of a team.
Responsibilities:
- Offer counsel to clients regarding buy-side and sell-side M&A transactions, which includes drafting, negotiation, and finalizing transaction documents.
- Provide guidance on corporate governance matters and aid clients in structuring and executing business transactions.
- Conduct due diligence reviews and prepare associated reports.
- Collaborate with other attorneys to ensure the delivery of top-quality legal services.
- Represent clients from various industries, including manufacturing and distribution, automotive, life sciences and biotechnology, health care, energy, food and beverage, environmental, and waste services and recycling sectors.
- Oversee all aspects of transactional matters from beginning to end.
