Our esteemed client, a renowned AmLaw 100 law firm, is currently seeking a Corporate Fund Formation Associate Attorney to join their expanding Private Investment Funds division. This incredible opportunity allows you to work alongside prominent venture capitalists and private equity investors, as well as contribute to the cutting-edge realm of incubators, accelerators, and cryptocurrency-based funds in a fast-paced milieu.

Candidate Profile:

• Hold a Juris Doctor (JD) degree from a prestigious law school with a commendable academic track record.

• Admitted to the state bar in the relevant jurisdiction, or eligible to sit for/waive into the forthcoming bar exam.

• Possess 3-7 years of substantial experience in venture capital (VC) or private equity (PE) fund formation and advisory work.

• Showcase an extensive background in guiding clients on fund structuring, compliance with regulatory requirements, as well as fund governance matters.

• Demonstrate profound knowledge of corporate and securities regulations applicable to private investment funds.

• Possess exceptional oral, written, and analytical skills with a strategic approach to providing guidance to clients.

• Exhibit an entrepreneurial mindset and the ability to work autonomously as well as collaboratively within a team-oriented legal practice.

Key Responsibilities:

• Provide counsel to venture capital and private equity firms regarding fund formation, structure, and compliance with relevant regulations.

• Draft and negotiate offering documents, limited partnership agreements, and side agreements.

• Offer ongoing guidance to fund managers on operational, governance, and investor-related matters.

• Assist clients in navigating ever-changing regulations that impact the private investment funds industry.

• Collaborate closely with investors, including venture studios, incubators, and accelerators, to develop customized fund structures.

• Work in conjunction with cross-disciplinary teams, including tax and securities law experts, to guarantee holistic legal solutions for clients.

We provide highly competitive compensation, with salaries ranging from $260,000 to $390,000, commensurate with experience, along with the potential to earn performance-based bonuses.
