CORPORATE M&A ASSOCIATE ATTORNEY

This incredible opportunity will involve working on high-profile transactions, including strategic acquisitions for industry leaders and successful exits for emerging unicorns.

Desired Qualifications:

• Hold a JD degree from a top-tier law school with an exceptional academic track record.

• Valid bar admission in the relevant jurisdiction or eligible to sit for/waive into the upcoming bar exam.

• Have 3–5 years of substantial experience in M&A at a preeminent corporate law firm.

• Proven expertise in deal execution, which includes due diligence, negotiation, and drafting of transaction documents.

• Ability to adeptly manage complex transactions and effectively collaborate with clients and opposing counsel.

• Experience or interest in working with technology and life sciences companies would be an added asset.

Key Responsibilities:

• Represent clients in domestic and international M&A transactions, joint ventures, and strategic investments.

• Prepare, negotiate, and review transactional documents, encompassing purchase agreements, shareholder agreements, and due diligence reports.

• Provide expert guidance to clients regarding corporate governance, securities laws, and other regulatory matters related to M&A.

• Collaborate with various departments within the firm, including tax, intellectual property, and regulatory law specialists.

• Cultivate strong client relationships and deliver strategic legal counsel to startups, emerging growth companies, and Fortune 500 corporations.
