Our esteemed client, a highly regarded AmLaw 50 law firm with an illustrious Corporate/Mergers and Acquisitions (M&A) practice, is in search of a skilled and driven Senior Associate Attorney to join their dynamic team in New York City. This stimulating role provides the opportunity to handle sophisticated transactional work for a diverse clientele, which includes private equity firms and strategic buyers.

About You:

  • Graduated from a leading law school with a remarkable academic record.
  • Valid membership in the New York Bar.
  • 5-7 years of hands-on experience in corporate transactions and M&A practice.
  • A proven track record in private equity transactions is an absolute necessity.
  • Proficient in executing domestic and international purchase and sale transactions, engaging in strategic mergers, leveraged buyouts, corporate restructurings, joint ventures, and corporate governance matters.
  • Exceptional interpersonal and communication skills, with a demonstrated ability to effectively collaborate within a team.

Your Responsibilities:

  • Offer counsel to clients on various complex corporate transactions, including private equity deals, mergers, acquisitions, and joint ventures.
  • Prepare, review, and negotiate transactional documents such as purchase agreements, shareholder agreements, and corporate governance documentation.
  • Assist clients in corporate restructurings and strategic planning initiatives.
  • Oversee cross-border transactions by ensuring compliance with relevant regulations and addressing jurisdictional challenges.
  • Cultivate and maintain strong client relationships through regular interaction and strategic advice.
  • Collaborate with multidisciplinary teams to address tax, regulatory, and other legal considerations.
