Real Estate Senior Associate Attorney / Of Counsel

Location: Dallas, TX

We are searching for a highly skilled and motivated Associate Attorney or Of Counsel to join our client, a prominent AmLaw 200 firm, in their dynamic Real Estate Practice Group based in Dallas. This exciting opportunity offers the chance to work on sophisticated real estate transactions within a collaborative and fast-paced environment.

Candidate Profile:

• You must have a JD from a top-tier law school with a strong academic record.
• Active Bar Admission in Texas is required.
• We are looking for individuals with at least 6 years of substantive experience in real estate finance and joint ventures.
• You should have extensive experience representing institutional equity investors and developers in real estate joint ventures involving the acquisition and development of multifamily, industrial, cold storage, and other commercial properties.
• You should possess a proven ability to take the lead in drafting and negotiating joint venture agreements.
• Significant experience representing institutional borrowers in real estate financing transactions is required, including construction loans, structured finance, debt fund financing, and CMBS-style lending.
• Experience handling complex capital stack structures, including mezzanine financing components, is preferred.
• You should have strong drafting, negotiation, and analytical skills, and the ability to manage transactions independently and collaborate effectively with clients and colleagues.

Key Responsibilities:

• Your role will involve representing institutional investors and developers in structuring and negotiating joint venture agreements for commercial real estate acquisitions and developments.
• You will be responsible for advising clients on real estate financing matters, including loan documentation, structuring transactions, and negotiating terms with lenders.
• You will take the lead in drafting and negotiating joint venture agreements and financing documents.
• Working closely with clients, you will help structure transactions that align with their strategic objectives.
• As part of a team of experienced real estate attorneys, you will collaborate in a fast-paced, high-caliber practice.
