Equity Plan Administrator
Our client is looking for an experienced individual to take on the role of Equity Plan Administrator. As the Equity Plan Administrator, you will be responsible for overseeing and managing our client's equity compensation programs. This includes handling the day-to-day administration of equity plans, such as stock options, restricted stock units (RSUs), and performance shares. Your main focus will be on ensuring compliance with securities laws and regulations, while also providing exceptional support to employees and executives. This is a full-time position based either in Morgantown, WV, or Houston, TX.

Key Responsibilities

  • Manage the entire life cycle of equity grants, including issuance, modifications, exercises, and cancellations.
  • Maintain accurate and up-to-date records within the equity management system.
  • Create and distribute employee communications regarding equity programs.
  • Act as the main point of contact for any equity-related inquiries, offering guidance to employees and managing relationships with vendors.
  • Ensure compliance with securities laws and regulations, including meeting Section 16 reporting requirements.
  • Prepare and submit necessary filings to regulatory authorities, such as the SEC.
  • Collaborate with the Finance team on equity budgeting, forecasting, and the reconciliation of monthly, quarterly, and annual reports.
  • Regularly audit equity plan data to identify any inaccuracies and proactively address discrepancies.
  • Work in partnership with legal counsel and finance teams on matters related to equity programs.
  • Stay informed about changes to equity compensation laws and regulations.
  • Drive improvements in equity administration processes and implement best practices to support organizational growth.

Qualifications

  • Bachelor's degree in Finance, Accounting, Human Resources, or a related field.
  • At least 5 years of experience managing equity plans, preferably within a publicly traded company.
  • Strong knowledge of equity compensation principles, including stock options, RSUs, and performance shares.
  • Proficiency in equity administration software and advanced skills in Microsoft Office.
  • Exceptional organizational and time management abilities, with the capacity to prioritize tasks in a fast-paced environment.
  • Excellent interpersonal and communication skills, with the ability to effectively engage with employees, vendors, and stakeholders.
