Equity Compensation Administrator
Our client is currently seeking an experienced Equity Compensation Administrator to oversee and manage their equity compensation programs. As an integral part of the team, you will be responsible for the day-to-day administration of various equity plans, such as stock options, restricted stock units (RSUs), and performance shares. This role entails ensuring adherence to securities laws and regulations while providing exceptional support to both employees and executives. This is a full-time position available at either our Morgantown, WV or Houston, TX locations.

Primary Responsibilities

  • Manage the entire equity grant process, including issuance, modifications, exercises, and cancellations.
  • Maintain accurate and up-to-date records within the equity management system.
  • Create and distribute employee communications regarding equity programs.
  • Act as the main point of contact for equity-related inquiries, offering guidance to employees and maintaining vendor relationships.
  • Ensure compliance with securities laws and regulations, particularly regarding Section 16 reporting requirements.
  • Prepare and submit necessary filings to regulatory authorities, such as the SEC.
  • Collaborate with the Finance team on equity budgeting, forecasting, and monthly/quarterly/annual reconciliations.
  • Regularly audit equity plan data to ensure precision and proactively identify any discrepancies.
  • Work alongside legal counsel and finance teams on matters pertaining to equity programs.
  • Stay updated on changes to equity compensation laws and regulations.
  • Drive enhancements in equity administration processes, implementing best practices to accommodate organizational growth.

Qualifications

  • Hold a Bachelor’s degree in Finance, Accounting, Human Resources, or a related field.
  • Possess a minimum of 5 years of experience managing equity plans, preferably within a publicly traded company.
  • Demonstrate comprehensive knowledge of equity compensation principles, including stock options, RSUs, and performance shares.
  • Exhibit proficiency in equity administration software and advanced Microsoft Office skills.
  • Have exceptional organizational and time management abilities, with the capability to prioritize tasks in a fast-paced environment.
  • Show strong interpersonal and communication skills, enabling effective engagement with employees, vendors, and stakeholders.
