IPO Assurance Manager / Senior Manager

The role of Public Offering Assurance Manager / Senior Manager is available at our well-established and highly profitable CPA firm in West Los Angeles, CA. As a member of the US IPO Advisory practice, the US IPO Advisory Manager plays a crucial role. This practice is highly visible and supports accounting and SEC reporting advice for emerging foreign companies, particularly startups, preparing for public offerings in the US markets. Emphasis is placed on Japanese companies, and bilingual or fluent Japanese language skills are desired. The position involves working closely with clients, their SEC legal advisors, external auditors, and subject matter experts within our firm. Responsibilities include assisting clients with financial statement preparation in compliance with USGAAP/IFRS, as well as the financial section of SEC reports. Additional tasks involve helping clients prepare for and respond to external auditor requests, drafting accounting position memos, and advising clients on internal control design for financial reporting.
Key Responsibilities:
· Take the lead in preparing financial statements in adherence to USGAAP/IFRS and for the financial section of SEC reports.
· Be responsible for external audit requirements, including drafting accounting position memos.
· Lead or participate in discussions with clients, external auditors, and legal counsel. Maintain professional relationships with these parties.
· Keep up-to-date with industry, SEC reporting, and accounting developments. Apply strong knowledge of finance and accounting principles to ensure accurate SEC report preparations. Review new SEC reporting requirements and US GAAP/IFRS accounting pronouncements to assess their impact on SEC report preparations.
· Collaborate with subject matter experts, including the quality control department, to ensure high-quality and accurate financial statements and SEC reports. Foster effective working relationships.
· Assist in driving process efficiencies and continuous process improvement efforts to strengthen the US IPO Advisory practice.
· Lead or participate in special projects and handle ad-hoc requests as necessary.

Qualifications:
· Experience in providing advisory services
· Experience in developing new clients and proposals
· Proficient in JGAAP and/or IFRS, as well as USGAAP
· Knowledgeable in SEC Reporting and Internal Control over Financial Reporting
· Able to take a long-term view of clients and own career
· Capable of guiding and leading subordinates as a future leader, with relevant knowledge and experience.
· Possesses an entrepreneurial spirit and generates new business ideas.
· Minimum of 6+ years of accounting and financial analysis/reporting experience, with exposure to SEC Form10K/20F/S-1/F-1/S-4/F-4 reporting and USGAAP/IFRS financial statements.
· Holds a Bachelor's degree in accounting.
· Must be a CPA
· Experience with Regulation S-X and S-K is advantageous.
· Sarbanes-Oxley 404 experience is a plus.
· PCAOB Audit experience is a plus
· Proficiency in Japanese language is a bonus
