Our client, a prestigious AmLaw 50 law firm, is in search of a talented Mergers & Acquisitions Associate Lawyer to join their esteemed Corporate & Securities team based in Philadelphia. This team handles intricate M&A and private equity transactions on a global scale, representing buyers, sellers, and advisors. Renowned for their creative legal solutions and business acumen, they consistently rank among the best M&A and private equity practices in renowned industry publications like Chambers and Law360. Candidate Profile:

• Holder of a Juris Doctor (JD) from a top-tier law school with an impressive academic record.
• Active membership in the Pennsylvania Bar Association.
• 4-7 years of substantial experience in M&A and private equity.
• Proven track record in drafting and negotiating complex M&A and private equity transaction agreements.
• Demonstrated ability to be a valuable member of deal teams, overseeing various aspects of transactions from due diligence to completion.
• Prior experience with an AmLaw 50 firm is a prerequisite.
• Display a collaborative and team-oriented attitude.

Key Responsibilities:

• Provide strategic legal and technical guidance to clients involved in sophisticated M&A and private equity transactions.
• Draft, review, and negotiate acquisition agreements, equity documents, and other relevant transaction paperwork.
• Lead and coordinate comprehensive due diligence activities to ensure compliance and thorough analysis.
• Oversee critical elements of transactions, collaborating with internal and external stakeholders to deliver seamless client service.
• Stay abreast of financial and market trends to offer forward-thinking counsel.
