This firm represents both lenders and borrowers in intricate mortgage loan warehouse transactions, utilizing innovative structures such as repurchase facility and loan-on-loan arrangements. With recognition in leading industry publications like Chambers and Partners and The Legal 500 US, the team is at the forefront of this field, advising major providers of warehouse facilities in the commercial real estate market.

Candidate Profile

• • Holding a JD from a top-tier law school with a stellar academic record.
  • New York Bar Admission in good standing.
  • 3-8 years of substantial experience in mortgage loan warehouse facility transactions.
  • Experience dealing with repurchase facilities and warehouse lending.
  • Demonstrated expertise in preparing and negotiating term sheets and transaction documents for financing facilities.
  • Proven ability to be a key member of deal teams, managing crucial aspects of transactions from term sheet negotiation to closing.
  • Prior involvement in commercial or residential mortgage loan warehouse transactions is preferred, although general ABS warehouse experience will also be considered.
  • Experience in a large law firm is highly desirable.

Key Responsibilities

• Advise lenders and borrowers on structuring, negotiating, and executing mortgage loan warehouse transactions, including repurchase facility and loan-on-loan structures.
• Draft, review, and negotiate essential transaction documents, such as term sheets, repurchase agreements, and related financing documents.
• Oversee transaction processes, collaborating with deal teams from initial structuring through closing.
• Offer strategic guidance on financing facilities and regulatory considerations associated with them.
• Stay updated on emerging trends in mortgage loan repurchase facilities and warehouse lending to provide clients with cutting-edge legal solutions.
