The firm represents both lenders and borrowers in sophisticated mortgage loan warehouse transactions using repurchase facility and loan-on-loan structures. Widely recognized by authoritative industry publications such as Chambers and Partners and The Legal 500 US, this team spearheads the field while advising major warehouse facility providers in the commercial real estate market.

Candidate Profile

• • Successful completion of JD from a top-tier law school with a strong academic record.
  • Active Bar Admission in Pennsylvania.
  • 3-8 years of substantial experience in mortgage loan warehouse facility transactions.
  • Proficiency in dealing with repurchase facilities and warehouse lending.
  • Demonstrated proficiency in formulating and negotiating term sheets and transaction documents for financing facilities.
  • Proven ability to be an integral member of the deal team, overseeing critical aspects of transactions from term sheet to completion.
  • Prior involvement in commercial or residential mortgage loan warehouse transactions is advantageous, although general ABS warehouse experience will also be considered.
  • Preference for previous experience in a prominent law firm.

Key Responsibilities

• Provide guidance to lenders and borrowers on the structuring, negotiation, and execution of mortgage loan warehouse transactions, incorporating repurchase facility and loan-on-loan structures.
• Create, review, and negotiate crucial transaction documents, such as term sheets, repurchase agreements, and related financing documents.
• Oversee transaction processes and work in partnership with deal teams from initial structuring to completion.
• Offer strategic counsel regarding financing facilities and related regulatory considerations.
• Stay abreast of emerging trends in mortgage loan repurchase facilities and warehouse lending to offer clients innovative legal solutions.
