Job Summary

Our client is currently seeking a Senior Associate Attorney to join their expanding securities group. This is a thrilling opportunity to be part of a sophisticated and entrepreneurial practice. The responsibilities for this role include:

• Offering advisory services to public companies on Securities Act of 1933 and Securities Exchange Act of 1934 compliance
• Managing public and private securities offerings
• Navigating through the regulations of national securities exchange listings
• Preparing reports on Forms 10-K, 10-Q, 8-K, and proxy statements
• Drafting and overseeing Section 16 reporting (Forms 3, 4, 5)
• Handling corporate governance matters, including drafting board resolutions and policies
• Experience with broker-dealers, FINRA, investment advisors, or fund formation is a desirable asset

Qualifications

• More than 6 years of experience in securities law
• Thorough understanding of public company regulations and securities offerings
• Bar admission in one of the relevant jurisdictions: Boston, NYC, Philadelphia, or Washington DC
