Our client, a prestigious law firm ranked in the AmLaw 100, is hiring a Technology Transactions Associate for their M&A-focused Technology Transactions Practice Group in Palo Alto, San Francisco, or New York. Join this firm to work on complex and high-profile transactions for top technology, entertainment, and life sciences companies in the U.S.

Profile of the Ideal Candidate:

• Graduated from a top-tier law school with excellent academic achievements.

• Admitted to the bar in the relevant jurisdiction, or eligible to sit for/waive into the next bar exam.

• 2+ years of experience at a large law firm, handling licensing, commercial contracts, and M&A transactions.

• In-depth understanding of intellectual property, due diligence, and contract negotiations within M&A and financing transactions.

• Proficient in document management systems (iManage, SharePoint) and Microsoft Office Suite.

• Excellent analytical, communication, and organizational skills.

• Ability to work efficiently under time pressure with minimal supervision.

Responsibilities:

• Conduct due diligence reviews for M&A and financing transactions, evaluating technology and commercial agreements.

• Create written summaries, disclosure schedules, and document reports for deal teams.

• Communicate important findings to team leaders and project stakeholders.

• Organize and track due diligence materials, information requests, and responses.

• Maintain and update document databases to streamline transaction processes.
