Transactional Legal Counsel

Location: Dallas, TX

Our client, an esteemed top-ranked firm in the legal industry, is looking for a skilled and motivated Associate Attorney to join their well-established Transactions Practice Group located in Dallas. This position presents an exciting opportunity to work on intricate mergers and acquisitions (M&A) transactions, securities matters, and corporate governance projects for middle-market and upper-middle-market companies, as well as private equity firms, both domestically and internationally.

Required Qualifications:

• Hold a JD from a prestigious ABA-accredited law school with a commendable academic record.
• Must possess a valid Bar Admission in good standing, with a prompt acceptance to the Texas Bar as a condition of employment.
• Have 3–5 years of substantial experience representing clients in the realms of M&A, corporate governance, financings, securities, and various commercial transactions.
• Demonstrate proficiency in drafting and negotiating transactional documents, along with exceptional communication and interpersonal skills.
• Exhibit a positive attitude, exceptional work ethic, and a collaborative mindset.
• Capable of effectively collaborating within teams and directly engaging with partners, senior associates, and clients.

Primary Responsibilities:

• Represent clients in intricate domestic and international M&A transactions, including private equity investments and divestitures.
• Provide counsel on matters of corporate governance, securities compliance, and other commercial affairs.
• Prepare and negotiate transactional documents such as purchase agreements, financing documents, and corporate governance instruments.
• Collaborate with a nationally integrated team to support high-stakes transactions while ensuring the delivery of exceptional client service.
• Cultivate and maintain strong client relationships, demonstrating the ability to manage multiple priorities and deadlines.
