URGENT NEED!....ATLANTA OR CHICAGO.....Seeking a Senior Associate Attorney with Expertise in Corporate Transactions and Capital Markets

Our client, a highly-regarded AmLaw 50 law firm known for its strong transactional practice, is searching for an accomplished Senior Associate Attorney to join their esteemed corporate transactions team in either Atlanta or Chicago.

Profile of the Ideal Candidate:

• A top-tier law school graduate with a JD and an exceptional academic record.
• An active Bar Admission in the relevant jurisdiction.
• Substantial experience, ranging from 4 to 6 years, in handling mergers and acquisitions (M&A) for both public and private companies, as well as private equity clients.
• Exceptional interpersonal skills that enable effective collaboration within team-based environments and direct engagement with clients.
• An established track record of handling complex transactional matters.
• Experience representing public and private companies, along with private equity clients, in various corporate transactions such as M&A, securities offerings, joint ventures, restructurings, carve-out transactions, and spinoffs. Prior involvement in the healthcare industry would be advantageous.

Main Responsibilities:

• Provide comprehensive guidance to clients throughout the course of M&A transactions, which includes structuring, negotiation, and execution.
• Prepare and review various transactional documents, such as purchase agreements, shareholder agreements, and related contracts.
• Collaborate with interdisciplinary teams to address regulatory, corporate governance, and tax considerations.
• Deliver strategic advice to clients from diverse industries on their corporate transactions and related matters.
• Contribute to initiatives for client development by cultivating and nurturing strong client relationships.
